NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr Allan Cook has elected to invest the maximum 50% of his 2008 after tax annual bonus in the Cobham plc Performance Share Plan 2007 (Bonus Co-investment Plan) ("Plan").

As noted in the 2008 remuneration report, the Plan works by giving participants (the executive directors and other senior executives) the opportunity to earn a matching award of shares against the bonus invested on an up to 2:1 basis. Matching awards vest after three years subject to economic profit targets. 

On 11 August 2009, notification was received of the purchase on behalf of Allan Cook of 83,212 ordinary 2.5 pence shares of Cobham plc at a price of 192.1855 pence per share.
